The Board of Directors focuses on the strategic management of the company. The operative management of the company is entrusted to a newly established body as of October 1, 2012, the Management Board.
The Chairman is responsible for leading the Board, ensuring the effectiveness of the Board in all of its tasks, including communication with shareholders, setting the Board's agenda and encouraging all Board members to participate fully in its activities and decision-making. The Non-Executive Directors enrich the Board with their years of experience and invaluable expertise. They make a crucial contribution to the formulation and development of the Company's strategy.
As of March 12th, 2013, the Board comprised 9 Non-Executive Directors (including the Chairman) and one Executive Director, Wolfgang Prock-Schauer. The Chairman is Dr Hans-Joachim Körber.
The Company has established an Audit, a Nominations, a Remunerations, and a Finance Committee each of them meeting regularly under its own terms of reference.
